Terms and Conditions of Sale for SR Group Pharma Wholesale Distribution
1. These Terms and Conditions ("Agreement") are established between SR Group Pharma, located at [Address], ("Seller" or "SR Group Pharma") and the Retail Pharma & Medical Institutions ("Buyer") identified in the order form or invoice. The Buyer agrees to be bound by these terms and conditions upon purchase of any pharmaceutical products from SR Group Pharma.
2. Orders All orders placed by the Buyer are subject to acceptance by SR Group Pharma. Orders can be made via phone, email, or through an authorized online platform. All products are subject to availability. SR Group Pharma reserves the right to cancel or modify any order prior to shipment.
Pricing: The prices for products are as stated in the SR Group Pharma price list at the time of order confirmation unless otherwise agreed upon in writing. Prices may change without prior notice, except for orders that have already been confirmed.
Payment Terms: Payment must be made as per the agreed terms (e.g., net 30 days). Late payments may incur a penalty charge as specified in the invoice.
Method of Payment: Payments are to be made via bank transfer, cheque, or other mutually agreed-upon payment methods. SR Group Pharma reserves the right to require prepayment or other forms of payment security for certain orders.
Delivery: SR Group Pharma will arrange for delivery of products to the Buyer as per the agreed terms and conditions. Delivery times are estimates and subject to availability, shipping conditions, and other factors.
Shipping Costs: Unless otherwise agreed, the Buyer is responsible for all shipping costs, including handling and insurance during transit.
Risk of Loss: The risk of loss or damage to the products passes to the Buyer upon delivery to the Buyer’s designated address.
Defective Products: If any products are defective or damaged upon delivery, the Buyer must notify SR Group Pharma within [X] days of receipt. SR Group Pharma will arrange for a return or exchange of such products.
Non-Defective Products: Returns of non-defective products are subject to SR Group Pharma's prior written approval. Restocking fees may apply.
Expiry and Recall: SR Group Pharma is not liable for products reaching their expiry date due to Buyer’s delay in sale or distribution. In case of a product recall, the Buyer must immediately comply with all instructions issued by SR Group Pharma or the manufacturer.
6. Warranty SR Group Pharma warrants that the products sold to the Buyer will conform to the specifications stated in the product's documentation and will be free from material defects at the time of delivery. No other warranties, express or implied, are given.
7. Confidentiality Both parties agree to maintain confidentiality concerning pricing, product information, and any other confidential information related to this Agreement. The Buyer agrees not to disclose or distribute such information without SR Group Pharma’s prior written consent.
8. Compliance with Laws The Buyer agrees to comply with all applicable laws and regulations regarding the sale, use, and distribution of pharmaceutical products, including any specific regulations governing the sale of controlled substances or prescription drugs.
9. Indemnity and Liability The Buyer agrees to indemnify and hold SR Group Pharma harmless from any claims, damages, or expenses arising from the misuse or improper handling of products purchased from SR Group Pharma. In no event shall SR Group Pharma be liable for any indirect, incidental, or consequential damages resulting from the sale of products.
10. Force Majeure Neither party will be held liable for delays or failure to perform any obligations under this Agreement due to unforeseen events such as natural disasters, pandemics, labor strikes, or other events beyond their control.
11. Termination Either party may terminate this Agreement with written notice in the event of a material breach by the other party, provided the breach remains uncured after [X] days of notice. SR Group Pharma may also terminate this Agreement in the event of non-payment, insolvency, or bankruptcy of the Buyer.
12. Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from or related to this Agreement shall be resolved through arbitration in [Location], under the rules of [Arbitration Institution].
Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, regarding the subject matter.

14. Acceptance By placing an order with SR Group Pharma, the Buyer acknowledges and agrees to be bound by these Terms and Conditions.
